مسؤولية أعضاء مجلس الإدارة في شركة المساهمـــــــــــــــــــة

Abstract

المشرع الجزائري اخضع إدارة وتسيير شركة المساهمة تحت طائله نظامين قانونين ،احداهما كلاسيكي مهمته التسيير فيه لمجلس الإدارة والأخر حديث يعهد على إقحام عدة اشخاص في إدارة الشركة وهم يسمى بنظام مجلس المديرين وكذا مجلس المراقبة فالقائمين بإدارة هذه الشركة قد ينحرفون عن المسار الأساسي الذي أنشئت من اجله هذه الأخيرة أي الشركة وجب مساءلتهم مدنيا اذا ما كان الفعل المرتكب غير جسيم ومساءلتهم جزائيا في حالة استفحل الخطأ بمعنى خطير .

Summary The Algerian legislator has subjected the management ,And administration of a joint-stock company to two legal systems, one of which is classical, entrusting the board of directors with the task of managing it, and the other is modern, relying on involving several people in the management of the company, which is called the board of directors system, as well as the supervisory board responsible for managing thiscompany. They may deviatefrom the basic path for which the latter, i.e.the company, was established .They must be held civilly accountable ifthe act committed is not serious, and criminally accountable if this act becomes serious .
