Abstract
The joint stock company has always been one of the most prominent human achievements so far, and no other company has surpassed it in the field of managing major projects, whether in terms of capital or number of partners. Strong led to its bankruptcy and extinction from the market as a result of weak internal control and the complicity of those in charge of concealing its true financial position from external control bodies, and the interest of the rest of the shareholders to focus on profit-making and neglect their role in monitoring the work carried out by those in charge of the administration, and this is what hastened the emergence of the rules of governance Which is the ideal solution to strengthen control over the actions of the board of directors as a collective body, as well as the control of the president, general manager and all those in charge of management.

لملخص:
لطالما كانت شركة المساهمة من أبرز الانجازات البشرية لحد الآن ولم تتفوق عليها شركة أخرى في مجال تسيير المشاريع الكبرى سواء من حيث رأس المال أو عدد الشركاء، إلا أن هذه الميزة تجر معها أكبر فضائح الفساد التي وقعت عبر التاريخ، حيث شهدت عدة شركات عالمية كبرى هزات قوية أدت إلى إعلان إفلاسها واندثارها من السوق نتيجة ضعف الرقابة الداخلية وتواطئ القائمين بإدارتها في إخفاء مركزها المالي الحقيقي عن أجهزة الرقابة الخارجية، واهتمام باقي المساهمين بالتركيز على جني الأرباح واهمال دورهم في الرقابة على الأعمال التي يقوم بها القائمون بالإدارة، وهذا ما عجل بظهور قواعد الحوكمة التي تعتبر الحل الأمثل لتعزيز الرقابة على التصرفات التي يجريها مجلس الإدارة كجهاز جماعي وكذا مراقبة الرئيس والمدير العام وكل القائمين بالإدارة.
