دور حوكمة المؤسسات في خلق القيمة للمساهمين

Abstract

تهدف هذه الدراسة لتوضيح دور حوكمة المؤسسات في خلق القيمة للمساهمين نظرا لتزايد الاهتمام بهذا الموضوع خاصة في أعقاب الانهيارات الاقتصادية و الأزمات المالية التي شهدتها عدد من دول العالم، و التي مست العديد من أسواق المال العالمية إضافة إلى انهيارات كبرى الشركات العالمية، امام الارتفاع الشديد لمخاوف اصحاب راس المال و المستثمرين مما استدعى الى ضرورة تبني مجموعة من القواعد و المعايير تحت مفهوم حوكمة المؤسسات، و التي ظهرت من اجل ان تعالج هذا المشكل الاساسي و هو ما عرف بمشكل الوكالة، من خلال توضيح المهام و المسؤوليات لكل اطراف التعامل، و تعزيز الثقة بينهم خاصة صغار المساهمين من خلال توضيح الدور الذي تلعبه حوكمة المؤسسات في خلق القيمة للمساهمين و تعظيم ثروة اصحاب راس المال.

This study aims at clarifying the role of corporate governance in creating value for shareholders due to the increasing interest in this subject especially in the wake of the economic collapse and financial crises witnessed by a number of countries in the world, the owners of capital and investors, which necessitated the adoption of a set of rules and standards under the concept of corporate governance, which emerged in order to address this problem, which is know as the problem of the agency, by clarifing the tasks and responsabilities of all parties to deal, and strengthenthe the of them especially small shareholders and to maximize the weath of the owners of capital.
